Terms of Service
Welcome to the JamStation Services.
JamStation Co., Ltd. (hereinafter referred to as the “Company”, “we”, “us”, or “our”) provides services related to JamStation, including websites, software, platforms, and applications such as JamJam, VoiceJam, and ADJam (collectively, the “JamStation Services” or the “Services”).
These Terms of Service, together with any additional terms and conditions provided by the Company (collectively, the “Terms”), govern the relationship between you (“you” or “User”) and the Company. By using the JamStation Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
You represent and warrant that you have the authority to accept these Terms on behalf of a company or other legal entity, and that you are fully authorized to bind such entity to comply with these Terms. If you are a minor, you must read and comply with these Terms, and your parent or legal guardian must also carefully read, understand, and agree to these Terms before using the Services.

Definitions
- Software: Any software or applications developed by the Company, including but not limited to all updates and any supplementary or additional software or applications subsequently provided by the Company.
- Member: Refers to a user who has completed the membership registration process. Detailed membership rights and benefits are available in the Website FAQ. For the avoidance of doubt, unless otherwise specified, the term “Member” as used in these Terms refers collectively to all types of membership tiers.
- Account: The login credentials provided to you after registration. You are only entitled to access and use the JamStation Services with the login credentials provided to you by the Company.
- Plan: Subscription plans and pricing models for the Services.
- Website: The official JamStation website.
- Payer: A user who purchases paid goods or services from the Company.
- Content: Any content available through the Services, including games, information, communications, goods, text, photos, videos, images, music, recordings, items provided by Content Providers, and Voice Output generated using the Services.
- User Content: Any content you submit, upload or provide, transmit, or publish to the Company through the JamStation Services, including files, videos, text, photos, recordings, images, music, audio, information, and other items, as well as Training Data.
- Training Data: Text or voice materials provided by you to the Company for the purpose of having the Company create a Custom Voice for you.
- Voice Output: Synthesized voice files generated through the JamStation Services by submitting User Content.
- Custom Voice: A synthesized voice tone and/or voice trained by the Company using the Training Data you have provided.
- Content Provider: An individual or company that has entered into a content supply agreement or other relevant contract with the Company, and provides the aforementioned types of content to users of the JamStation Services.
- Third-Party Services: Third-party websites, resources, products, software, and other services.

Account
When using the JamStation Services, you shall provide truthful, accurate, and complete information and update such information regularly to ensure it remains accurate, current, and complete. If the information you provide is false, has become false without being updated, or is otherwise misleading, the Company reserves the right to suspend or terminate your membership and your access to the JamStation Services at any time. If inaccurate or misleading information prevents the Company from contacting you or causes harm to third-party interests, you shall bear all related legal and compensation liability.
Your Account may only be used by you or persons authorized by you, and solely in accordance with these Terms. You may not illegally reproduce, distribute, sell, publicly transmit, or otherwise make your Account available to any third party.
You are solely responsible for maintaining strict confidentiality of your Account password to prevent unauthorized use. All actions taken using your Account credentials are deemed to be your own actions. If your Account is used illegally for any reason, all resulting costs, expenses, and losses shall be borne by you. If the Company or any third party suffers harm as a result, you shall bear the relevant legal and compensation liability.
If you discover that your Account or personal data has been illegally accessed or used in any unusual manner, you must notify the Company immediately and take appropriate legal measures to protect your rights. The Company may, if necessary, request relevant personal information from you and reserves the right to manage access to the disputed Account.
You may submit a deletion request via the member portal. Once your Account is deleted, related data (including but not limited to membership registration data, listening history, saved playlists, User Content, and Voice Output) will be irrecoverable. If you cancel your subscription or cease using the JamStation Services, the Company may retain your User Content and Voice Output for up to one year. However, the Company may retain certain data for legal purposes for a longer period, for example declaration recordings made for the purpose of creating a Custom Voice.

Privacy
By using the JamStation Services, you acknowledge and agree that the Company may collect, process, and use your personal data in accordance with our Privacy Policy.

Use of Services
- Depending on your subscription plan, different features, rights, and limitations may apply. Please refer to the Website FAQ for details. You acknowledge and agree that the Company may embed other users’ voice advertisements within the content you receive, and your generated voice content may also be embedded as audio advertisements within content provided to other users, for which the Company bears no responsibility.
- Subject to your applicable plan, you may provide Training Data to create a Custom Voice. Prior to such customization, the voice actor must first record a declaration in the manner specified by the Company, thereby consenting to the Company’s use of Training Data containing the voice actor’s voice to create a Custom Voice for you. The Company may use such a declaration to verify that the speaker corresponds to the Training Data. The Company will use reasonable efforts to train the Custom Voice; however, insufficient data quality or failure to pass internal verification may affect the outcome and processing time.
- You may manage device changes through the Company's management mechanism. The Company reserves the right to adjust such mechanism, including the number of permitted changes and the method thereof.
- You shall not engage in any of the following conduct:
- Reproduce, distribute, sell, publicly display, or otherwise access or use the Services or Content in any unauthorized manner.
- Violate any applicable laws, regulations, court orders, or administrative measures.
- Upload, transmit, or publish any content that is abusive, defamatory, harassing, bullying, reputation-infringing, indecent, pornographic, violent, offensive, or otherwise unlawful or contrary to public order and good morals.
- Infringe the copyright, trademark, patent, or other intellectual property rights, reputation rights, privacy rights, portrait rights, or other rights stipulated by law or contract, of the Company or any third party.
- Impersonate the Company or any third party, or disseminate false or unlawful information.
- Exchange usage rights for cash, goods, or other economic benefits outside methods permitted by the Company.
- Modify, reverse engineer, reverse code, decompile, disassemble, or simplify the Services into human-readable form; prevent or hinder other users from using the Software or the JamStation Services; or spread viruses or other programs capable of damaging computer systems through the Software or the JamStation Services.
- Use automated tools, including bots, crawlers, or scraping tools, to access or extract data from the Services.
- Improperly collect, disclose, or provide the personal data, membership registration data, or usage records of others.
- Interfere with the servers or network system of the JamStation Services; use bots, cheating tools, or other technical means to improperly operate the Services; intentionally exploit vulnerabilities in the JamStation Services; submit excessive repetitive inquiries or otherwise make improper demands; or otherwise obstruct the Company’s operation of the JamStation Services or other users’ use thereof.
- Engage in any other conduct that the Company determines to be in violation of these Terms.
- The Company may, without prior notice to users, make necessary modifications to specific services, features, or content of the JamStation Services where required by technical or regulatory development.

User Content
- You represent and warrant that you have all necessary rights, licenses, and authorizations with respect to the User Content you provide to the Company, and that you shall be solely responsible for maintaining all such rights, licenses, and authorizations throughout the duration of your use of the JamStation Services.
- You may submit User Content to generate Voice Output through the JamStation Services. Such Voice Output may be used as voice advertisements on the JamStation platform to promote your services, goods, or other advertising content.
- Your Voice Output may only be used on JamStation in the manner authorized by the Company. You are solely and fully responsible for your User Content and any generated Voice Output, and the Company bears no responsibility for such content or advertisements.
- By transmitting, publishing, or uploading User Content to the JamStation Services, you grant the Company a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to freely use all or any part of such User Content for the purpose of providing you with the JamStation Services, including but not limited to reproducing, adapting, editing, displaying, publishing, distributing, and publicly transmitting such content. If you delete your User Content, but such content or Voice Output generated therefrom has already been made public or shared, and any third party has not deleted such content or Voice Output, the Company and such third party may continue to use the content and Voice Output under the license granted above.
- You may not use the Services to create or distribute:
- Illegal or harmful content, including content related to child sexual abuse or exploitation, violent extremism or terrorism, or content that infringes others' rights, including but not limited to intellectual property rights, portrait rights, and privacy rights.
- Content that endangers others or may compromise the security of the JamStation Services, including spam, phishing, malware, or similar harmful activities.
- Content that spreads misinformation, makes false representations, or is intended to deceive others, including fraud, deception, impersonation, or making misleading claims to suggest expertise in sensitive fields such as health, finance, government services, or law.
- Content involving sexually explicit material, violence, hatred, or other harmful activities, including hate speech, harassment, bullying, intimidation, abuse, or incitement to violence.
- Any other conduct in violation of these Terms or applicable laws and regulations.
The Company reserves the right to sample-monitor your User Content, and to remove or disable your access to any User Content and/or Voice Output without prior notice. Users shall have no claims against the Company for any such actions. For the avoidance of doubt, the Company is not obligated to monitor or review your User Content by virtue of the foregoing rights.

Paid Services
The JamStation Service plans offered by the Company shall be as specified on the Company's website. You acknowledge and understand that trial services, software, or features may be converted to paid plans. When purchasing paid JamStation Services, you agree to the following:
- You shall use a payment method belonging to you. If you use a credit card or payment instrument belonging to another person (the "Actual Payer"), the Company will deem you to have obtained lawful authorization to use such instrument, and the Actual Payer to have full knowledge of the transaction. Either you or the Actual Payer may, in the future, query payment-related account information, terminate payment arrangements, or request changes to information pertaining solely to the Actual Payer.
- If either you or the Actual Payer is suspected of unlawful conduct or is reported by the other party, the Company will, in accordance with these Terms, appropriately collect and process the relevant personal and payment data. Neither you nor the Actual Payer may violate these Terms or infringe the rights of third parties; any violation shall result in sole legal liability.
- If the Payer's designated credit card expires, is reported lost or stolen, is declined by the issuing bank, or if the Company's billing attempt fails for any other reason, the Company reserves the right to terminate or cancel the transaction.
- The Payer shall exercise the care of a prudent manager in safeguarding personal data and important payment information. Such information shall not be disclosed to or delivered to third parties. Any loss resulting from the intentional or negligent disclosure or unauthorized use of such information by the Payer or the Actual Payer shall be the sole responsibility of the relevant party and shall not involve the Company.
- If you dispute the charges for a current billing period, the Company may still deduct the amount shown on the bill from the designated account. If an overpayment or underpayment is confirmed, the Company will automatically deduct or add the relevant amount in the next billing period.
- Any disputes between the Payer and local telecommunications providers, electronic payment platforms, or other third-party payment processors, including but not limited to changes to payment accounts, constitute a legal relationship independent of these Terms. Such disputes shall be resolved between the Payer and the relevant service provider, who shall each bear their own legal liability.
- To change your designated payment account or terminate your automatic debit authorization, you may submit a request via the Company's "Contact Us" feature. Any such changes or terminations shall take effect from the next scheduled debit date.
- Pursuant to applicable regulations governing exceptions to the right of withdrawal for distance transactions, the JamStation Services, once authorized for payment and provided, are non-refundable and exempt from the seven-day withdrawal right under applicable consumer protection laws.
The Company may modify subscription plans and pricing from time to time, including in response to applicable tax changes. Where such changes occur, the Company will notify you in advance, and the changes shall take effect from the first day of your next billing cycle. This notification obligation applies solely to adjustments in subscription plans and pricing; changes to other provisions of these Terms remain subject to Article 14.

Reporting and Disputes
If you discover that any content and/or User Content provided through the JamStation Services infringes your copyright, you may file a copyright report with the Company. The reporting procedure is as follows:
- You may file a report via the Company's Contact Us feature. If you are acting as an agent for the copyright holder or as an agent of an exclusive licensee, please also submit a power of attorney from the copyright holder or proof of the exclusive license.
- Upon confirming that the report documentation is in order, the Company will immediately take down the allegedly infringing content and/or User Content. If the Company notifies you that supplementary documentation is required, you must provide the complete documentation within 5 business days of receiving such notice; failure to do so will result in the report being deemed invalid.
- If the reported party or a Content Provider raises an objection, the Company will notify you of the objected content and/or User Content as soon as possible. If you fail to provide proof of litigation within 10 business days of receiving the Company's notification, the originally disputed content and/or User Content will be restored.

Third-Party Services
- You acknowledge and agree that Content Providers shall bear full legal liability for the content they provide. All compensation for any infringement or damages caused to users and/or third parties by content provided by Content Providers shall be borne solely by the respective Content Provider.
- You acknowledge that services provided by third-party service providers, not directly provided by the Company, constitute a legal relationship independent of these Terms. When using such Third-Party Services, you must read, agree to, and comply with their respective terms of service and privacy policies. In the event of any dispute, the legal liability shall be borne respectively by you and the third-party service provider; the Company shall bear no liability whatsoever.
- The Company shall bear no warranty or compensation liability for any defects or damages suffered by users as a result of the intentional or negligent acts of Content Providers, hardware manufacturers, third-party service providers, or other users.

Intellectual Property
- All intellectual property rights in the JamStation Services, Software, Content, text files, and any code, regardless of the storage medium, belong to the Company or third parties. The Company grants you only the right to use the JamStation Services in accordance with these Terms. For the avoidance of doubt, any rights not expressly granted to you herein are reserved by the Company. You hold an exclusive right of use with respect to your Custom Voice within the JamStation Services.
- You may at any time request the Company to permanently destroy your Custom Voice via the "Contact Us" feature; however, once destroyed, it cannot be recovered. You agree that the Company may use aggregated, derived, and/or metadata that is de-identified or non-user-identifiable and generated during your use of the JamStation Services, collectively "Aggregated Data", even after you unsubscribe, cease using the Services, or delete your Account, including Aggregated Data generated during the creation of your Custom Voice. The Company shall retain full ownership of and all rights and interests in such Aggregated Data. Such data may be used for debugging, error correction, ongoing development and improvement of the JamStation Services, internal training, and support. You hereby assign to the Company any ownership, rights, and interests you may have in the Aggregated Data, and waive any moral rights therein to the extent permitted by applicable law. The Aggregated Data, being de-identified, is not subject to the retention period specified in Article 2, paragraph 5.
- The JamStation Services, Content, and technology are protected by applicable laws in all licensed territories. You may not remove or alter any copyright management information, anti-circumvention measures, or other rights notices, including but not limited to patent and trademark notices, or software markings contained in the JamStation Services, Software, or Content.
- You may not use the JamStation Services or any Content for machine learning or artificial intelligence training, to create generative AI, or to develop any services or products that directly or indirectly compete with JamStation, or engage in any similar activity.
- You agree that any feedback you provide to the Company regarding the JamStation Services, including enhancements, suggestions, reviews, improvements, and feature recommendations, collectively "Feedback", may be freely used by the Company, including but not limited to developing related features based on your Feedback, without any obligation or compensation to you or any other third party.

Suspension and Termination
- The Company may, without prior notice, temporarily suspend or permanently terminate a user's right to use part or all of the JamStation Services under the following circumstances, and may simultaneously delete the user's data on the JamStation Services. Users shall have no claims against the Company for any such actions:
- The Company determines that the user has violated, or is at risk of violating, applicable laws or these Terms.
- As required for technical maintenance, legal compliance, or other operational necessities.
- Provisions that by their nature should survive termination of these Terms shall remain in full force and effect, including but not limited to the Disclaimer, User Responsibility, and Limitation of Liability provisions.
- The Company may, without prior notice, temporarily suspend or permanently terminate a user's right to use part or all of the JamStation Services under the following circumstances, and may simultaneously delete the user's data on the JamStation Services. Users shall have no claims against the Company for any such actions:

Disclaimer
The Services are provided on an "as is," "as available," and "without warranty of defect-free" basis. The Company expressly disclaims all express, implied, or statutory warranties and representations with respect to the JamStation Services and Content, including any warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
The Company does not guarantee the stability, security, accuracy, reliability, completeness, or effectiveness of the JamStation Services; does not guarantee that any defects or errors will be corrected; does not guarantee that any specific content will be available; does not guarantee that the results of using the Services or the information obtained through the Company will meet your expectations; and does not guarantee that you will not be exposed to inappropriate content.
To the maximum extent permitted by applicable law, the Company shall not be liable for your choice to access or use any Third-Party Services in connection with the JamStation Services or managed devices; you acknowledge and agree that the risk of accessing or using any such Third-Party Services is borne solely by you.

User Responsibility
If, as a result of a user's violation of applicable laws or these Terms, the Company, its affiliates, and their respective employees, officers, directors, and representatives suffer any losses or are subject to any demands for costs, including but not limited to attorney's fees, directly or indirectly, including but not limited to situations where the Company is sued by a third party for damages, the user shall bear all costs and be solely responsible for handling the relevant disputes, and shall compensate the Company for all losses incurred thereby, including but not limited to attorney's fees, settlement amounts, and judgment compensation.

Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any special, incidental, punitive, or consequential damages arising from or in connection with these Terms or the use or performance of the JamStation Services, including any loss of profits, loss of use, loss of data, loss of goodwill, business interruption or loss, or cost of procuring substitute products, regardless of whether a party has been notified of the possibility of such damages. In no event shall the Company be liable for any damages whatsoever. The exclusions and limitations of liability set forth in these Terms constitute an essential basis of the bargain between the parties, and the terms, including the financial terms, would be substantially different in the absence of such exclusions or limitations.

Changes to Terms
The Company may modify these Terms at any time when it deems necessary. The updated Terms will be published through the application, the website, or such other channels as the Company deems appropriate, and shall take effect upon publication. If you continue using the JamStation Services after any such changes, you will be deemed to have carefully read, understood, and agreed to comply with the modified or updated Terms. If you are a minor, such deemed acceptance shall also bind your parent(s) or legal guardian(s). As the Company will not individually notify you of any changes, please refer to the most current version of these Terms each time you use the JamStation Services.

Language
These Terms are written in Traditional Chinese. Any translated version is for reference only. In case of conflict, the Chinese version shall prevail.

Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of China (Taiwan).
Any disputes arising from or in connection with the JamStation Services shall, unless otherwise provided by applicable law, be subject to the first-instance jurisdiction of the Taipei District Court by mutual agreement of the parties.
